Terms of Service

1. Agreement to Terms

By accessing or using the website at recoupt.io (the "Site") or the Recoupt service (the "Service") offered by Beamt, LLC ("Beamt," "we," "us," or "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the Site or Service.

These Terms apply to all visitors, users, and anyone who submits information through the Site, including signing up for a Recoupt account.

2. Description of Service

Recoupt is a Stripe-integrated involuntary-churn recoupment service for solo founders and small SaaS teams. Recoupt detects failed Stripe payments, runs smart retry sequences, and sends branded dunning emails on behalf of the merchant. Features, pricing, and availability are subject to change without notice.

Recoupt is operated by Beamt, LLC. Recoupt is a product of Beamt; Beamt, LLC is the legal entity providing the Service.

3. Acceptable Use

You agree not to:

  • Use the Site or Service for any unlawful purpose or in violation of any applicable laws or regulations.
  • Scrape, crawl, or otherwise extract data from the Site by automated means without our express written permission.
  • Attempt to gain unauthorized access to any part of the Site, the Service, or any related systems.
  • Submit false, misleading, or fraudulent information, including fake email addresses on sign-up forms.
  • Interfere with or disrupt the integrity or performance of the Site or Service.
  • Use the Service to send unsolicited bulk email outside the scope of legitimate dunning communications to your own customers.
  • Impersonate Beamt or any Beamt personnel, or misrepresent your affiliation with any person or entity.

4. Intellectual Property

All content on the Site — including text, graphics, logos, icons, and code — is the property of Beamt, LLC or its licensors and is protected by applicable copyright, trademark, and other intellectual property laws. You may not reproduce, distribute, modify, or create derivative works of any Site content without our prior written consent.

The Beamt and Recoupt names and logos are trademarks of Beamt, LLC. Nothing in these Terms grants you a license to use any Beamt or Recoupt trademark.

5. Account & Email Communications

When you submit your email address to sign up for Recoupt, you consent to receiving email communications from Beamt related to the Service, including account notices, billing notices, and product updates. We will not sell your email address to third parties.

You may opt out of marketing emails at any time by clicking "unsubscribe" in any email we send, or by contacting us at hello@beamt.io. Transactional and account-related emails are not subject to opt-out.

6. Stripe Integration & Customer Communications

Recoupt connects to your Stripe account via OAuth and operates on the failed-payment events Stripe surfaces. The following terms apply:

  • You authorize Recoupt to read failed-payment events from your Stripe account, run retry sequences via Stripe's API, and send dunning emails to the customers associated with those failed payments.
  • You are responsible for ensuring that your relationship with your customers permits these communications under applicable law (e.g., CAN-SPAM, GDPR, CASL).
  • You may revoke Recoupt's Stripe access at any time from your Stripe Dashboard. No further reads or sends will occur after revocation.
  • Recoupt does not handle card data; all card processing remains within Stripe under Stripe's PCI-compliant infrastructure.

7. Subscription, Cancellation & Refunds

Recoupt is billed month-to-month with no contract. You may cancel at any time through your Stripe billing portal or by emailing support@beamt.io.

  • Monthly plans are not refunded or pro-rated. Cancellation stops future billing; charges already incurred are not refunded.
  • Annual plans may request a refund for the remaining unused months of the annual term by emailing support@beamt.io. Refunds are processed manually within five business days of the request.
  • Refunds are calculated from the unused full months remaining in the current annual term and are issued to the original payment method via Stripe.

For data export or account deletion requests, email support@beamt.io; these are handled manually within five business days.

8. Privacy

Your use of the Site and Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Site or Service, you consent to the data practices described in the Privacy Policy.

9. Third-Party Links

The Site may contain links to third-party websites or services (e.g., Stripe, X/Twitter, GitLab, Beamt). Beamt is not responsible for the content, privacy practices, or terms of those third parties. Accessing third-party links is at your own risk.

10. Disclaimer of Warranties

THE SITE AND ALL CONTENT AND SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. BEAMT DOES NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. RECOUPMENT-RATE FIGURES PUBLISHED ON THE SITE ARE INDUSTRY ESTIMATES AND DO NOT CONSTITUTE A GUARANTEE OF YOUR ACTUAL RESULTS.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, BEAMT AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF THE SITE OR SERVICES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN NO EVENT SHALL BEAMT'S TOTAL LIABILITY TO YOU EXCEED ONE HUNDRED U.S. DOLLARS ($100), OR THE AMOUNT YOU PAID TO BEAMT IN THE TWELVE MONTHS PRECEDING THE CLAIM, WHICHEVER IS GREATER.

12. Indemnification

You agree to indemnify, defend, and hold harmless Beamt and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to your use of the Site, your violation of these Terms, or your violation of any third-party rights.

13. Changes to These Terms

We may update these Terms from time to time. When we do, we will revise the "Effective date" at the top of this page. Your continued use of the Site after any changes constitutes acceptance of the updated Terms. We encourage you to review these Terms periodically.

For material changes, we will make reasonable efforts to notify registered users via the email address on file.

14. Governing Law & Disputes

These Terms are governed by the laws of the State of Delaware, without regard to its conflict-of-law provisions. Any dispute arising from these Terms or your use of the Site shall be resolved exclusively in the state or federal courts located in Delaware, and you consent to personal jurisdiction in those courts.

15. Severability & Entire Agreement

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect. These Terms, together with any supplemental product terms and our Privacy Policy, constitute the entire agreement between you and Beamt regarding your use of the Site and Service.
